4. Service Orders

All services are provided based on an approved quotation, proposal, purchase order, or service agreement.

Campaign execution, onboarding, API integrations, and account activation will commence only after all required approvals, documents, and applicable payments have been received.

5. Payment Terms

All service charges are exclusive of applicable GST unless otherwise stated.

Payments shall be made according to the agreed commercial terms.

Certain services require 100% advance payment before execution.

For approved enterprise projects, Prompt Media Solutions may accept partial advance payments based on mutually agreed terms.

Delayed payments may result in suspension or termination of services.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate campaign content and recipient data.
  • Obtain all required customer consents before sending communications.

Ensure compliance with applicable laws, TRAI regulations, Meta policies, and other platform guidelines.

Maintain confidentiality of account credentials provided for service access.

Prompt Media Solutions shall not be responsible for any legal consequences arising from unauthorized or non-compliant data provided by the Client.

7. Compliance

The Client agrees not to use our services for:

  • Spam or unsolicited communications.
  • Fraudulent, misleading, or deceptive activities.
  • Illegal, offensive, or harmful content.
  • Content that violates intellectual property rights.
  • Activities prohibited by applicable laws or platform policies.
  • Prompt Media Solutions reserves the right to reject, suspend, or terminate any campaign that violates these requirements.

8. Intellectual Property

All website content, including logos, trademarks, graphics, text, software, and designs, is the property of Prompt Media Solutions unless otherwise stated.

No content may be copied, reproduced, distributed, or modified without prior written permission.

9. Limitation of Liability

Prompt Media Solutions shall not be liable for:

  • Telecom operator delays or failures.
  • Meta, Google, or third-party platform restrictions.
  • Network outages or technical disruptions.
  • Service interruptions beyond our reasonable control.

Loss of business, revenue, profits, or indirect damages resulting from the use of our services.

10. Third-Party Services

Some services rely on third-party providers, including telecom operators, Meta Platforms, Google, payment gateways, cloud hosting providers, and technology partners.

Prompt Media Solutions is not responsible for delays, policy changes, or service interruptions caused by these third-party providers.

11. Cancellation & Refund

Payments made towards onboarding, subscriptions, campaign credits, API integrations, software services, and digital marketing services are generally non-refundable unless otherwise agreed in writing.

Prompt Media Solutions reserves the right to determine refund eligibility based on the nature of the service.

12. Privacy

Your use of our website and services is also governed by our Privacy Policy. By using our services, you consent to the collection and processing of your information as described in the Privacy Policy.

13. Changes to Terms

Prompt Media Solutions reserves the right to update or modify these Terms & Conditions at any time. Updated versions will be published on this website with the revised Effective Date.

Continued use of our website or services constitutes acceptance of the updated Terms.

14. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.
